This Dealer/Distributor Agreement is made between:

1. Appointment
The Company appoints the Distributor as a non-exclusive dealer/distributor of BLUE Tonic packaged drinking water products in the agreed territory.
2. Territory
The Distributor is authorized to sell products in the following area:

The Company reserves the right to appoint other distributors in the same or different territories.
3. Products
The Distributor will deal in the following products:

All products will be supplied under the brand BLUE Tonic.
4. Pricing & Payment Terms
- Prices will be communicated by the Company and may change from time to time.
- Payments must be made in advance / within agreed credit period.
- Any delay in payment may result in suspension of supply.
5. Order & Supply
- Orders must be placed in advance via phone, email, or written request.
- The Company will make reasonable efforts to supply products on time.
- Delivery timelines may vary depending on order quantity and location.
6. Distributor Responsibilities
The Distributor agrees to:
- Promote and sell BLUE Tonic products actively in the assigned area
- Maintain proper storage and hygiene conditions for water bottles
- Not deal in duplicate or competing products that harm the brand reputation
- Follow all local laws and regulations
7. Branding & Marketing
- The Distributor may use the BLUE Tonic brand name only for authorized sales and promotion.
- Any marketing material must be approved by the Company.
8. Quality & Handling
- The Distributor must ensure safe handling and storage of products.
- Damaged or tampered products must not be sold.
9. Returns & Damages
- Claims for damaged goods must be reported at the time of delivery.
- Returns will be accepted only if approved by the Company.
10. Term & Termination
- This agreement is valid for [12 months / as agreed] from the date of signing.
- Either party may terminate the agreement with [15/30 days] written notice.
- The Company may terminate immediately in case of breach of terms.
11. Confidentiality
The Distributor agrees not to disclose pricing, business strategies, or confidential information to any third party.
